Terms of Service

These Terms of Service ("Terms") are an agreement between you and Innova Apps ("Innova Apps", "we", "our", "us") about the Stripe Payout Reconciliation add-in and the pages, template workbook and account that go with it. By installing or using the add-in, or by downloading and using the reconciliation template workbook, you agree to these Terms. If you do not agree, do not use the Service.
1. The service
Stripe Payout Reconciliation ("the Service") is an add-in for Microsoft Excel. It provides three custom functions that read data from your own Stripe account into the Excel grid (=STRIPE.PAYOUTS(from, to, [includeHeader]), =STRIPE.PAYOUT_ITEMS(payoutId, [includeHeader]) and =STRIPE.BALANCE()), plus a reconciliation template workbook that matches those payouts against a bank statement you paste in, flagging each payout Matched or UNMATCHED and each bank deposit with no payout behind it.
Read-only by design. The Service reads from Stripe and never writes to it: the functions issue read requests for payouts, balance transactions and balances, and nothing else, so the Service cannot create charges, issue refunds or move money. Saving a key checks its format, so only restricted keys are accepted and secret keys (sk_) and publishable keys (pk_) are refused with an explanation. The "Test my key" checks in the task pane end with a write probe that creates and changes nothing in your Stripe account and tells you whether the key you pasted is able to write, so that you can recreate it read-only.
What you need. Excel on Windows or Mac (Microsoft 365) or Excel on the web; your own Stripe account and a restricted, read-only key that you create in it; and a free Innova Apps add-in account (email and password) used for sign-in and plan status.
Independent product: Innova Apps is not affiliated with, endorsed by, or sponsored by Stripe, Inc. "Stripe" is a trademark of Stripe, Inc. Your relationship with Stripe, and with Microsoft, is governed by their own terms, not by these Terms.
2. Eligibility and accounts
- You must be able to enter into a binding agreement in your own name or on behalf of the organisation you represent. If you accept these Terms for an organisation, you confirm that you are authorised to do so.
- Give accurate details when you create your Innova Apps add-in account, and keep them up to date.
- Keep your credentials safe. Do not share your password, and tell us at support@innovaapps.ai if you believe your account has been used without your permission.
- One account per user. Accounts are personal and are not to be shared between people.
- You are responsible for all activity that takes place under your account.
3. Acceptable use
When you use the Service, you agree to the following.
- Only connect Stripe accounts you are authorised to access. Do not use a key that belongs to someone else, or read payout data you have no right to see.
- Do not circumvent plan limits. Do not create multiple accounts, or use any other technique, to get past the limits of the plan you are on.
- Do not reverse engineer. Do not decompile, disassemble or otherwise try to derive the source code of the Service, except where that restriction is not permitted by law.
- No unlawful use. Do not use the Service for any unlawful purpose, to interfere with or disrupt it, or in a way that breaks Stripe's or Microsoft's own terms.
4. Your API key
The Service works with a restricted Stripe key that you create in your own Stripe account, under Developers → API keys → Create restricted key, with Balance: Read and Payouts: Read. Granting read access to external payout accounts (bank accounts) as well lets the add-in show bank names next to your payouts. Restricted keys start with rk_live_ or rk_test_.
- The key stays on your device. It is stored only in the add-in's local storage on the device you paste it into. It is never sent to, stored on, or logged by Innova Apps servers, and the
=STRIPE.*functions call api.stripe.com directly from your machine, so your payout data does not pass through our servers either. - Keep it read-only. Grant the read permissions the functions need and nothing more. You are responsible for the permissions you grant the key, and for any consequence of granting more than the Service requires.
- Revoke it at any time. "Forget key" in the task pane removes the key from the device, and you can revoke the key itself in Stripe whenever you want.
- Some Excel webviews block persistent storage. Where that happens, the key works for the session and has to be pasted again next time; the task pane tells you when this is the case.
- You remain responsible for keeping the key confidential on your own device, and for your own Stripe account's security settings.
5. Plans, billing and cancellation
The add-in itself is free to install, and there are two plans.
- Free. The last 30 days of payouts and up to 25 rows per call, for
=STRIPE.PAYOUTSand=STRIPE.PAYOUT_ITEMSalike, so a payout with more than 25 transactions needs Pro. All three functions and the reconciliation template workbook are included. - Pro, $19 per month. Full payout history, up to 1,000 rows per call for both of those functions, and priority support.
- How Pro is billed. Pro is billed through Stripe on Innova Apps' own Stripe account, not through Microsoft. Card details never reach Innova Apps servers. Paid upgrades are still being switched on; when they are, an upgrade starts from the Upgrade button in the task pane.
- Renewal. A Pro subscription renews monthly at the then-current price until you cancel it.
- Cancellation. You can cancel at any time from "Manage billing" in the task pane. Access to Pro continues to the end of the period you have already paid for, and your account then returns to the Free plan.
- Taxes. Prices are exclusive of any applicable VAT, which is added where it applies.
6. No accounting, tax or financial advice
The Service assists with reconciliation. It does not replace accounting judgement, and nothing it produces is accounting, tax, audit or financial advice. Verify the results before you rely on them for bookkeeping, tax or audit.
Two points the template workbook itself flags are worth repeating here: two payouts of the same amount inside the same match window can match the same bank deposit, so those need checking by hand; and one copy of the workbook assumes a single currency. The match window (cell J1 on the Reconciliation sheet, ± 3 days by default) is yours to set, and the result depends on the value you choose and on the statement data you paste in.
7. Availability and third-party dependencies
The Service depends on things we do not control. It reads from the Stripe API, and it runs inside Microsoft Excel.
- Stripe may change, deprecate or restrict its API, or have an outage, and the Service may stop returning data or return different data as a result.
- Microsoft may change the Excel add-in platform, the custom functions runtime, or how storage works inside the Excel webview, and features may have to change with it.
- We may change, add to, or discontinue parts of the Service. Where a change materially reduces what a paid plan does, section 12 applies.
We do not commit to any particular level of availability, and the Service may be unavailable during maintenance or because of a third-party outage.
8. Intellectual property
The Service (the add-in, the template workbook, the documentation, and the design of these pages) belongs to Innova Apps and is protected by intellectual property law. Subject to these Terms, you get a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose, which includes downloading the template workbook, using it and adapting it for your own books or those of clients you keep books for. You may not resell or redistribute the Service or the template workbook as a product of your own.
Your Stripe data, your bank statement data, and the workbooks you build with the Service remain yours. We claim no rights in them.
9. Disclaimer of warranties
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free or secure, that it will match every payout correctly, or that the data it returns from Stripe will be complete or current.
10. Limitation of liability
To the maximum extent permitted by law, Innova Apps is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data or goodwill, whether or not we were told such loss was possible.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service is limited to the fees you paid us for the service in the three (3) months immediately before the event giving rise to the claim.
To the maximum extent permitted by law, we are not liable for a reconciliation that is mismatched or missed, for a payout that is flagged matched when it is not, or for any bookkeeping, tax, audit or other decision taken on the basis of the service's output.
Nothing in these Terms limits liability that cannot be limited under the law that applies to you, including any statutory rights you have as a consumer.
11. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if your use puts the Service or other users at risk. Where it is reasonable to do so, we will tell you first and give you a chance to put things right.
You can stop using the Service at any time: choose "Forget key" in the task pane to remove your Stripe key from the device, revoke the key in Stripe, cancel any Pro subscription from "Manage billing", and remove the add-in from Excel. To delete your Innova Apps add-in account, email support@innovaapps.ai from the address the account is registered to; deletion is completed within 30 days.
Sections 6 and 8 to 13 survive the end of these Terms.
12. Changes to these terms
We may update these Terms as the Service changes. For material changes we will give you at least 14 days' notice by email to the address on your add-in account before the change takes effect, and we will update the effective date at the top of this page. If you keep using the Service after a change takes effect, you accept the updated Terms; if you do not want to accept them, cancel any paid plan and stop using the Service before that date.
13. Governing law and venue
These Terms and any dispute arising out of them or out of the Service are governed by the laws of Denmark, without regard to conflict-of-law rules. The courts of Denmark have exclusive jurisdiction, with the City Court of Copenhagen as the court of first instance, except where mandatory law entitles you to bring proceedings in the courts of your own country of residence.
We would rather sort things out directly. Email support@innovaapps.ai first and we will try to resolve the matter in good faith.
