Terms of Service

These Terms of Service ("Terms") are an agreement between you and Innova Apps ("Innova Apps", "we", "our", "us") about the Stripe Payout Reconciliation add-in and the pages, template workbook and account that go with it. By installing or using the add-in, or by downloading and using the reconciliation template workbook, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

Stripe Payout Reconciliation ("the Service") is an add-in for Microsoft Excel. It provides three custom functions that read data from your own Stripe account into the Excel grid (=STRIPE.PAYOUTS(from, to, [includeHeader]), =STRIPE.PAYOUT_ITEMS(payoutId, [includeHeader]) and =STRIPE.BALANCE()), plus a reconciliation template workbook that matches those payouts against a bank statement you paste in, flagging each payout Matched or UNMATCHED and each bank deposit with no payout behind it.

Read-only by design. The Service reads from Stripe and never writes to it: the functions issue read requests for payouts, balance transactions and balances, and nothing else, so the Service cannot create charges, issue refunds or move money. Saving a key checks its format, so only restricted keys are accepted and secret keys (sk_) and publishable keys (pk_) are refused with an explanation. The "Test my key" checks in the task pane end with a write probe that creates and changes nothing in your Stripe account and tells you whether the key you pasted is able to write, so that you can recreate it read-only.

What you need. Excel on Windows or Mac (Microsoft 365) or Excel on the web; your own Stripe account and a restricted, read-only key that you create in it; and a free Innova Apps add-in account (email and password) used for sign-in and plan status.

When you use the Service, you agree to the following.

4. Your API key

The Service works with a restricted Stripe key that you create in your own Stripe account, under Developers → API keys → Create restricted key, with Balance: Read and Payouts: Read. Granting read access to external payout accounts (bank accounts) as well lets the add-in show bank names next to your payouts. Restricted keys start with rk_live_ or rk_test_.

The add-in itself is free to install, and there are two plans.

6. No accounting, tax or financial advice

The Service assists with reconciliation. It does not replace accounting judgement, and nothing it produces is accounting, tax, audit or financial advice. Verify the results before you rely on them for bookkeeping, tax or audit.

Two points the template workbook itself flags are worth repeating here: two payouts of the same amount inside the same match window can match the same bank deposit, so those need checking by hand; and one copy of the workbook assumes a single currency. The match window (cell J1 on the Reconciliation sheet, ± 3 days by default) is yours to set, and the result depends on the value you choose and on the statement data you paste in.

7. Availability and third-party dependencies

The Service depends on things we do not control. It reads from the Stripe API, and it runs inside Microsoft Excel.

We do not commit to any particular level of availability, and the Service may be unavailable during maintenance or because of a third-party outage.

8. Intellectual property

The Service (the add-in, the template workbook, the documentation, and the design of these pages) belongs to Innova Apps and is protected by intellectual property law. Subject to these Terms, you get a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose, which includes downloading the template workbook, using it and adapting it for your own books or those of clients you keep books for. You may not resell or redistribute the Service or the template workbook as a product of your own.

Your Stripe data, your bank statement data, and the workbooks you build with the Service remain yours. We claim no rights in them.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited under the law that applies to you, including any statutory rights you have as a consumer.

11. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if your use puts the Service or other users at risk. Where it is reasonable to do so, we will tell you first and give you a chance to put things right.

You can stop using the Service at any time: choose "Forget key" in the task pane to remove your Stripe key from the device, revoke the key in Stripe, cancel any Pro subscription from "Manage billing", and remove the add-in from Excel. To delete your Innova Apps add-in account, email support@innovaapps.ai from the address the account is registered to; deletion is completed within 30 days.

Sections 6 and 8 to 13 survive the end of these Terms.

12. Changes to these terms

We may update these Terms as the Service changes. For material changes we will give you at least 14 days' notice by email to the address on your add-in account before the change takes effect, and we will update the effective date at the top of this page. If you keep using the Service after a change takes effect, you accept the updated Terms; if you do not want to accept them, cancel any paid plan and stop using the Service before that date.

13. Governing law and venue

These Terms and any dispute arising out of them or out of the Service are governed by the laws of Denmark, without regard to conflict-of-law rules. The courts of Denmark have exclusive jurisdiction, with the City Court of Copenhagen as the court of first instance, except where mandatory law entitles you to bring proceedings in the courts of your own country of residence.

We would rather sort things out directly. Email support@innovaapps.ai first and we will try to resolve the matter in good faith.
